Otryon — Terms of Service

These Terms of Service ("Terms") form a binding contract between Athen Labs, LLC d/b/a Otryon, a Massachusetts limited liability company in the United Stateswith its principal place of business at 56 Broad Street STE 14022, Boston, MA 02109, United States ("Otryon", "we", "us", or "our") and the person or entity that installs, accesses, or uses the Otryon app ("Merchant", "you"). By installing or using Otryon, you agree to these Terms. If you do not agree, do not use the Service.

1) The Service

Otryon provides a virtual try-on experience, consent-aware analytics, and campaign tooling delivered through a Shopify theme app embed, storefront widget, and web pixel extension. Our backend runs on managed cloud infrastructure and stores operational data as needed to provide the Service.

Otryon integrates with Shopify APIs, billing, and discount features. Shopify is an independent platform and is not responsible for Otryon.

2) Your Shopify Account & Installation

Installing Otryon authorizes us to access your store according to the scopes you approve. You are responsible for store configuration, consent notices, and compliance with Shopify policies.

3) Roles & Data Protection

For data about your admin users, Otryon acts as a controller. For storefront shopper data, you are the controller/business and Otryon acts as your processor/service provider under the documented instructions you supply in Shopify.

Otryon's widget can be configured to respect Shopify's Customer Privacy API and Web Pixel categories, but you are responsible for enabling the appropriate consent surfaces for the regions you serve. Do not deploy the widget until you have confirmed consent handling meets your obligations.

We limit the technical information we store about storefront visits to what is necessary for analytics, support, and security, and access to that information is restricted to trained personnel.

4) Consent, Pixels & Cookies

You agree not to bypass Shopify's privacy controls. Our documentation explains how to scope your implementation so it respects visitor preferences, and you must configure consent and opt-out experiences that satisfy applicable laws.

5) Third-Party Security & Anti-Abuse

To mitigate abuse we may enable third-party protections such as bot scoring or challenge mechanisms on administrative routes or forms. When we do so, the relevant provider's terms and privacy policies will apply.

6) Campaigns & Discounts

Otryon can create and manage Shopify discounts and coupon campaigns. You are solely responsible for the terms, compliance, and fulfillment of any promotion you configure.

7) Billing, Trials & Taxes

  • Plans and subscription charges are handled through Shopify's hosted billing.
  • You must approve charges in Shopify before they take effect.
  • Shopify calculates and remits applicable taxes; fees are otherwise non-refundable.
  • We may change pricing with notice through Shopify billing surfaces or in-app messaging.

8) Acceptable Use

  • Do not violate laws, third-party rights, or Shopify policies when using Otryon.
  • Do not attempt to identify users using try-on outputs or create biometric profiles.
  • Do not reverse engineer, scrape, or misuse our Service.
  • Do not upload malicious code or interfere with Service operation.

9) Merchant Content & License

You retain ownership of your store content. You grant Otryon a limited license to use your content to provide the Service. You are responsible for shopper consent when collecting try-on photos. Otryon processes images solely to render previews and related features.

10) Ownership; Feedback

Otryon owns the Service and its intellectual property. Feedback you submit may be used without restriction.

11) Service Changes; Beta Features; Availability

We may modify or discontinue features with reasonable notice. Beta features are provided as-is and may change or end at any time. While we strive for high availability, outages can occur, including those originating from Shopify or third-party providers.

12) Subprocessors & Third-Party Services

We rely on carefully selected infrastructure, analytics, and support partners to deliver the Service. Each partner is bound by written agreements to protect personal information, follow our instructions, and use data only for the purposes we authorize.

13) Confidentiality

Both parties must protect each other's confidential information and use it solely to fulfill these Terms.

14) Warranties & Disclaimers

  • Each party warrants it has the authority to enter these Terms.
  • You warrant you have the rights to install the app, provide your content, and obtain any required consents from your shoppers.
  • Try-on visuals are approximations only and may differ from real-world fit, color, or appearance.
  • Except as stated, the Service is provided "as is" and "as available" without warranties of any kind, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, or arising from usage of trade.

15) Indemnification

You will defend and indemnify Otryon and its affiliates against claims arising from your store, content, or use of the Service in violation of law or these Terms, including claims related to your promotions, consent obligations, or intellectual property.

16) Limitation of Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, consequential, special, or punitive damages, or lost profits. Each party's total liability is capped at the greater of (a) the fees you paid to Otryon in the 12 months prior to the event giving rise to liability or (b) US $500.

17) Term; Suspension; Termination

  • These Terms last from installation until terminated.
  • We may suspend your access for breaches, unpaid fees, security risks, or where required by law or Shopify policy.
  • Either party may terminate at any time. Upon termination we will cease storefront processing and delete data according to our retention schedules.

18) Export & Sanctions

You represent you are not restricted by export controls or sanctions and will not use the Service in prohibited jurisdictions or for prohibited purposes.

19) Publicity

We may identify you as a customer (name and logo) on our website and marketing materials. You may opt out by emailing hello@otryon.com or support@otryon.com.

20) Changes to Terms

We may update these Terms from time to time. Material changes will be communicated in the app or by email. Continued use after changes means you accept the updated Terms.

21) Governing Law; Disputes

These Terms are governed by the laws of the Commonwealth of Massachusetts, United States, excluding conflict of law rules. The courts located in Suffolk County, Massachusetts, United Stateshave exclusive jurisdiction. The UN Convention on Contracts for the International Sale of Goods does not apply.

22) Miscellaneous

  • Any signed agreement or DPA between us prevails over conflicting language in these Terms.
  • You may not assign these Terms without our written consent.
  • If any provision is unenforceable, the rest remain in effect.
  • Waivers must be in writing and are not continuing waivers.
